By creating an account or using Vydyra (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these terms. You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service.
Vydyra connects to your GitHub repositories and uses AI agents to assess issues, plan and generate code changes, and open pull requests. The Service is provided free of charge and operates on a bring-your-own-AI-model basis: you supply and are responsible for your own AI provider credentials and any associated provider costs and terms.
Code, tests, and other output produced by the Service are generated by AI and may contain errors, security issues, or otherwise unsuitable changes. You are solely responsible for reviewing, testing, and approving any pull request before merging or deploying it. Vydyra opens pull requests as proposals; it does not relieve you of responsibility for what you merge into your repositories or ship to production.
You agree not to use the Service to:
You are responsible for safeguarding your account, for the AI provider credentials you configure, and for the consequences of changes you accept. You must comply with the terms of any third-party services you connect (including GitHub and your AI provider).
You retain all rights to your repositories, source code, and other content you make available to the Service (“Your Content”). You grant Vydyra a limited, non-exclusive license to access, store, and process Your Content solely to provide the Service to you (including transmitting relevant context to the AI provider you configure). As between you and Vydyra, we claim no ownership of Your Content or of the code the Service proposes; you are responsible for it once it enters your repositories. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
The Service integrates with third parties you choose, including GitHub and your AI model provider. Your use of those services is governed by their own terms and privacy policies, and you are responsible for complying with them and for any costs they charge. Vydyra is not responsible for the availability, accuracy, security, or data practices of third-party services, and transmitting Your Content to your chosen AI provider is done at your direction.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI-GENERATED OUTPUT WILL BE ACCURATE, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYDYRA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REPOSITORIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY DAMAGES RESULTING FROM AI-GENERATED CODE THAT IS MERGED OR DEPLOYED, FROM CHANGES THE SERVICE MAKES TO YOUR REPOSITORIES, OR FROM ANY THIRD-PARTY SERVICE. THIS APPLIES WHETHER A CLAIM IS BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Vydyra and its officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or your repositories; (b) your use of the Service, including any code you merge or deploy; (c) your violation of these terms or of any law; or (d) your violation of any third party’s rights, including intellectual-property or privacy rights.
You may stop using the Service at any time and request deletion of your account. We may suspend or terminate access if you violate these terms or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
The Service is offered on an early-access basis and may change, be interrupted, or be discontinued at any time without notice. We do not guarantee any particular result, uptime, or that the Service will be available, uninterrupted, or error-free.
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and you and Vydyra submit to the exclusive jurisdiction of the state and federal courts located there, except where applicable law gives you the right to bring a claim elsewhere. Before filing a claim, you agree to first contact us to attempt to resolve the dispute informally.
We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party services (such as cloud providers, GitHub, or AI providers), network failures, or acts of God.
These terms, together with the Privacy Policy, are the entire agreement between you and Vydyra regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
We may update these terms from time to time. Material changes will be reflected by an updated “Last updated” date; continued use after changes take effect constitutes acceptance.
